Terms of Use

These Terms of Use ("Terms") govern your access to and use of the CertifiedLoads platform, websites, and related services (collectively, the "Service") operated by Certified Loads LLC ("Certified Loads", "we", "us"). By accessing or using the Service, you agree to these Terms.

1. The Service

CertifiedLoads is a pickup verification platform for the transport industry. The Service helps shippers, brokers, carriers, and drivers coordinate and verify pickup events, document releases, and produce an audit trail for freight and automotive loads. The Service is provided on a subscription or access basis to business users.

2. Eligibility and Accounts

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. You represent that any business you register on behalf of is properly authorized to use the Service and that you have the authority to bind that business.

You are responsible for maintaining the confidentiality of your account credentials, for all activity that occurs under your account, and for promptly notifying us of any suspected unauthorized use at info@certifiedloads.com.

You agree not to use the Service to:

We may suspend or terminate accounts that violate these Terms or put the integrity of the Service at risk.

4. Your Content and Data

You retain ownership of the information you submit to the Service. You grant Certified Loads a limited, non-exclusive, worldwide license to host, process, display, and transmit that information solely to operate, improve, and secure the Service, and to provide verification and reporting features to the authorized parties on a given load.

You are responsible for ensuring you have the right to share any information you submit, including information about employees, drivers, or third parties, and for complying with applicable privacy and data protection laws.

5. Intellectual Property

Certified Loads and its licensors own the Service, including all software, designs, trademarks, and content we provide, and all patents pending and granted related to the Service. Nothing in these Terms transfers any intellectual property rights to you other than the limited right to use the Service as expressly described.

The CertifiedLoads name, logo, and associated marks are trademarks of Certified Loads LLC. You may not use them without our prior written permission.

6. Fees

Access to the Service may be subject to fees. Fees, billing cycles, and payment terms will be described in the order form or ordering page that applies to your account. Unless stated otherwise, fees are non-refundable. You are responsible for applicable taxes.

7. Third-Party Services

The Service may integrate with third-party services (for example, telematics providers, ELD systems, insurance data providers, or identity verification vendors). Your use of those services is subject to their own terms. We are not responsible for third-party services or their content.

8. SMS / Text Messaging Consent

By providing a mobile phone number to CertifiedLoads, directly or through an authorized administrator on your behalf, you agree to receive operational SMS messages from CertifiedLoads, including verification codes, load tender notifications, pickup and delivery alerts, and account security notices.

Message frequency varies based on load activity. Standard message and data rates may apply. CertifiedLoads does not send marketing or promotional SMS.

You may opt out at any time by replying STOP to any CertifiedLoads SMS. Reply HELP for assistance, or contact info@certifiedloads.com. Opting out of SMS may limit your ability to use parts of the Service that depend on text-based verification or notification.

If you provide a phone number on behalf of another person (for example, a dispatcher enrolling a driver), you represent that you have authority to enroll that number and that the user has been informed they will receive operational SMS from CertifiedLoads.

9. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Certified Loads disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Service is designed to reduce the risk of impersonation and fraud at pickup. It does not guarantee prevention in every case and does not replace your own due diligence, insurance, or compliance obligations.

10. Limitation of Liability

To the maximum extent permitted by law, Certified Loads and its officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, or lost data, arising from or related to the Service, even if advised of the possibility of such damages.

Our total aggregate liability for any claim relating to the Service will not exceed the greater of (a) the amounts you paid to Certified Loads for the Service during the 12 months before the claim arose, or (b) one hundred US dollars ($100).

11. Indemnification

You agree to indemnify and hold harmless Certified Loads LLC and its affiliates from any claim, liability, damages, or expense (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms, if we are required to do so by law, or if continued operation would pose a material risk to the Service or other users. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and governing law.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws rules. You and Certified Loads agree that the state and federal courts located in Wyoming have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting an updated version on the platform. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes.

15. Entire Agreement

These Terms, together with our Privacy Policy and any order form or ordering page you agree to, constitute the entire agreement between you and Certified Loads regarding the Service and supersede any prior agreements on that subject.
