Terms of Use

These Terms of Use ("Terms") govern your access to and use of the CertifiedLoads platform, websites, mobile applications, and related services (collectively, the "Service") operated by Certified Loads LLC ("Certified Loads", "we", "us", "our"). By accessing or using the Service, or by authorizing anyone to do so on your behalf, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
CertifiedLoads is a transport security platform for the transport industry. The Service helps shippers, brokers, carriers, dealers, and drivers coordinate and verify pickup events, document releases, and produce an audit trail for freight loads, including vehicle and automotive transport. The Service is provided on a subscription or access basis to business users and is offered as an evolving product that we continue to develop and improve.
2. Eligibility and Accounts
You must be at least 18 years old and legally able to enter into a binding contract to use the Service. You represent that any business you register on behalf of is properly authorized to use the Service and that you have the authority to bind that business.
You are responsible for maintaining the confidentiality of your account credentials, for all activity that occurs under your account, and for promptly notifying us of any suspected unauthorized use at support@certifiedloads.com.
3. Acceptable Use
You agree not to use the Service to:
- Violate any law, regulation, or third-party right.
- Submit false, misleading, or impersonated identity, authority, or load information.
- Attempt to access accounts, data, or systems you are not authorized to access.
- Interfere with, disrupt, overload, or probe the Service or its infrastructure.
- Introduce malware or attempt to circumvent security or access controls.
- Copy, scrape, or resell any part of the Service without our written permission.
- Use the Service to facilitate fraud, double brokering, cargo theft, or the impersonation of any carrier, driver, shipper, or broker.
We may investigate, suspend, or terminate accounts that violate these Terms or put the integrity of the Service at risk.
4. No Reverse Engineering or Competitive Use
The Service embodies proprietary and patent-pending methods. You agree not to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or underlying methods of the Service, except to the limited extent that applicable law expressly permits despite this restriction. You agree not to access or use the Service to build, train, or benchmark a competing product or service, to copy its features or design, or on behalf of a competitor. Access granted for evaluation or a pilot is solely for your internal assessment of the Service.
5. Your Content and Data
You retain ownership of the information you submit to the Service. You grant Certified Loads a limited, non-exclusive, worldwide license to host, process, display, and transmit that information solely to operate, improve, and secure the Service, and to provide verification and reporting features to the authorized parties on a given load.
You are responsible for ensuring you have the right to share any information you submit, including information about employees, drivers, or third parties, and for complying with applicable privacy and data protection laws. You represent that you have obtained any consents needed to add the phone numbers and personal information you submit.
Aggregated and de-identified data
Certified Loads may create data that has been de-identified, anonymized, or combined with other data so that it no longer identifies you, your business, or any individual ("Aggregated Data"). Certified Loads owns Aggregated Data and may use it during and after the term of these Terms for any lawful business purpose, including operating, securing, and improving the Service, developing new products and features, creating and publishing industry benchmarks, statistics, and insights, and strengthening fraud prevention across the platform. We will not disclose Aggregated Data in any form that identifies you or any individual, we will not attempt to re-identify it, and we do not sell personal information.
Network security signals
The Service protects its participants as a network. You agree that Certified Loads may use security events observed on the Service, such as failed or suspicious verification attempts and indicators of impersonation or fraud, to detect and prevent fraud for you and for other participants, to warn participants of threats, and to improve the Service’s protections. Network security signals shared with other participants will not include your confidential business terms, pricing, or customer lists.
6. Feedback
If you send us suggestions, ideas, or feedback about the Service, you grant Certified Loads a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate that feedback for any purpose without obligation or compensation to you. Feedback is not your confidential information.
7. Intellectual Property
Certified Loads and its licensors own the Service, including all software, designs, trademarks, and content we provide, and all patents pending and granted related to the Service. Nothing in these Terms transfers any intellectual property rights to you other than the limited right to use the Service as expressly described.
The CertifiedLoads name, logo, and associated marks are trademarks of Certified Loads LLC. You may not use them without our prior written permission.
8. Confidentiality
In the course of using or evaluating the Service, you may be given access to non-public information about how the Service works, including in demonstrations, assessments, and pilot programs. You agree to keep such information confidential, to use it only to use or evaluate the Service, and not to disclose it to any third party without our prior written consent. This obligation does not apply to information that is or becomes public through no fault of yours, that you already lawfully possessed, or that you are compelled to disclose by law, provided you give us reasonable prior notice where permitted. Where a separate non-disclosure agreement exists between us, that agreement governs any conflict on this subject.
9. Fees
Access to the Service may be subject to fees. Fees, billing cycles, and payment terms will be described in the order form or ordering page that applies to your account. Unless stated otherwise, fees are non-refundable. You are responsible for applicable taxes.
10. Third-Party Services
The Service may integrate with third-party services (for example, telematics providers, ELD systems, insurance data providers, mapping, or identity verification vendors). Your use of those services is subject to their own terms. We are not responsible for third-party services or their content.
11. SMS / Text Messaging Consent
By providing a mobile phone number to CertifiedLoads, directly or through an authorized administrator on your behalf, you agree to receive operational SMS messages from CertifiedLoads, including verification codes, load tender notifications, pickup and delivery alerts, and account security notices.
Message frequency varies based on load activity. Standard message and data rates may apply. CertifiedLoads does not send marketing or promotional SMS.
You may opt out at any time by replying STOP to any CertifiedLoads SMS. Reply HELP for assistance, or contact support@certifiedloads.com. Opting out of SMS may limit your ability to use parts of the Service that depend on text-based verification or notification.
If you provide a phone number on behalf of another person (for example, a dispatcher adding a driver), you represent that you have authority to add that number and that the user has been informed they will receive operational SMS from CertifiedLoads.
12. Service Availability and Changes
We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, error free, or available at any particular time. We may modify, add, or discontinue features, and we may perform maintenance that temporarily limits access. Features labeled beta, preview, or early access are provided "as is" for evaluation and may change or be withdrawn.
13. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, Certified Loads disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
The Service is designed to reduce the risk of impersonation and fraud at pickup. It does not guarantee prevention in every case and does not replace your own due diligence, insurance, or compliance obligations.
14. Limitation of Liability
To the maximum extent permitted by law, Certified Loads and its officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, lost cargo, or lost data, arising from or related to the Service, even if advised of the possibility of such damages.
Our total aggregate liability for any claim relating to the Service will not exceed the greater of (a) the amounts you paid to Certified Loads for the Service during the 12 months before the claim arose, or (b) one hundred US dollars ($100).
15. Indemnification
You agree to indemnify and hold harmless Certified Loads LLC and its affiliates, officers, and employees from any claim, liability, damages, or expense (including reasonable legal fees) arising from your use of the Service, your content or data, your violation of these Terms, or your violation of any law or third-party right.
16. Term and Termination
You may stop using the Service at any time. We may suspend or terminate your access if we reasonably believe you have violated these Terms, if we are required to do so by law, or if continued operation would pose a material risk to the Service or other users. On termination, your right to use the Service ends. Sections that by their nature should survive will survive, including No Reverse Engineering or Competitive Use, Your Content and Data, Feedback, Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, Indemnification, and Governing Law and Disputes.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws rules. Before filing any claim, you agree to first contact us at support@certifiedloads.com and attempt to resolve the dispute informally for at least 30 days. If we cannot resolve it, you and Certified Loads agree that the state and federal courts located in Wyoming have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction there, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
18. Export Controls and Sanctions
You represent that you are not located in, and will not use the Service from, a country or region subject to comprehensive US sanctions, that you are not on any US government restricted-party list, and that you will comply with applicable export control and sanctions laws in your use of the Service.
19. Force Majeure
Certified Loads is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, utility or network failures, and acts of government.
20. General
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets. Severability. If any provision is found unenforceable, the rest of these Terms remain in effect. No waiver. Our failure to enforce a provision is not a waiver of it. Notices. We may provide notices to you by email or through the Service, and you may send notices to us at support@certifiedloads.com. Relationship. These Terms do not create any partnership, agency, or employment relationship between you and Certified Loads.
21. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting an updated version on the platform. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes.
22. Entire Agreement
These Terms, together with our Privacy Policy and any order form or ordering page you agree to, constitute the entire agreement between you and Certified Loads regarding the Service and supersede any prior agreements on that subject.
